This Terms of Service agreement (the "Agreement") is a legally binding agreement between you ("User," "You," or "Your") and Himanshu Kodwani ("Developer," "We," "Us," or "Our") for the use of the "Chocolate Truffle" software (the "Software") and the associated services provided through the Clickbank platform. By using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
a. License Grant: The Developer grants you a non-exclusive, revocable, non-transferable license to install and use the Software on a Windows system with a compatible version of .Net installed.
b. External Services: The Software may use external services like ChatGPT, for which you may need to provide access tokens and secrets. You acknowledge that the use of these services may be subject to additional terms and conditions set forth by the respective service providers.
c. Social Media Access Codes and Tokens: The Software being an auto blogging software may require you to enter your social media access codes, tokens, usernames, and passwords. You understand and accept responsibility for providing this information and storing it on your local database at your own risk.
a. Dependency on Free Services: The Software may use free services and APIs for its functionality. However, these services may not always be available for free or may change their terms, pricing, or availability beyond the free limits. You acknowledge and accept that the Software's functionality may be impacted due to changes in these services.
a. Compliance with Laws: You agree to comply with all applicable laws, regulations, and guidelines while using the Software.
b. Data and Usage Responsibility: You understand and agree that the Developer does not bear any responsibility or liability for the data, usage, or workability of the Software. The use of the Software is entirely at your own risk.
c. Indemnification: You agree to indemnify, defend, and hold the Developer harmless from and against any claims, losses, damages, liabilities, costs, and expenses arising from your use of the Software, including but not limited to the violation of any applicable laws or regulations.
a. ClickBank Client Contract: Your use of the Software is subject to the ClickBank Client Contract [1], and you agree to comply with its terms and conditions.
b. ClickBank's Role: Clickbank is the platform through which the Software is made available. Clickbank is not responsible for the functionality, content, or any issues related to the Software. Any inquiries or support requests regarding the Software should be directed to the Developer.
a. Termination by User: You may stop using the Software at any time.
b. Termination by Developer or ClickBank: The Developer or ClickBank may terminate your access to the Software or ClickBank services at their sole discretion, with or without cause and without liability.
a. Updates to the Agreement: The Developer reserves the right to modify this Agreement at any time. The updated version will be posted on the Clickbank platform, and your continued use of the Software after such changes constitutes your acceptance of the updated Agreement.
a. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Developer's Jurisdiction.
b. Venue: Any legal action or proceeding arising out of or relating to this Agreement shall be exclusively held in the courts of Developer's Jurisdiction.
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
By installing and using the "Chocolate Truffle" Software, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions.
